Church By-Laws


ARTICLE - I - Membership

Section 1.  Qualifications.  The membership of this church shall consist of such persons as confess Jesus Christ as their Lord and Savior, who are born again, and who have followed Jesus in Baptism, who express agreement with the purpose and beliefs of this church as described in the Constitution; and who are received into membership in accordance to the precepts outlined in God’s holy word.

Section 2.  Admission.  Those presenting themselves for active Christian service in this Church shall, under the direction of the Holy Spirit, be subject to the congregation and may be received by Baptism, Letter, or on their Christian Experience.

Presentation for membership of any unusual nature shall be referred to the Deacons Ministry while those applying shall be received under the "watch care" of the church, to wait the report and recommendation of the Deacons Ministry.

Section 3.  Duties and Stewardship.  Membership in this church is a sacred duty, and involves full commitment to Jesus Christ, and to the purpose of the Church.  Each disciple of the Lord worshipping here is expected to practice faithful discipleship as taught in the God’s word, the Bible, and to strive for realization of the ideals set forth in Article III of the Constitution as are applicable to the Christian life.

Members are expected to attend worship and Christian Education initiatives regularly in an attempt to Grow towards Christian maturity as stipulated by Ephesians 4, to contribute regularly to the support of the Church, and its causes, and to share in the organized work of the Church.

Section 4.  Rights.  Such members as are in full and regular standing, and such only, may act and vote in the transactions of the Church.

Section 5.  Abridgment.  The body shall take no action to abridge the rights of its members except in the cases listed below, and this restriction shall be based on Age:

1.        Making a decision on calling a Pastor;

2.        Deciding  questions of doctrine.

At the time of the decision, the body shall set the limit (s), after the gravity of the issue is determined.

Section 6.  Termination.  The membership of individuals in this church may be terminated in any of the following ways:

1.           Letter:  Any member in full and regular standing who desires a letter of recommendation to a designated church of like faith and order, is entitled to receive it upon his/her request, and such a letter shall be granted by the church.

2.           Uniting With Another Church:  If a member of this church unites with another church, his membership in this church shall be terminated automatically.

3.           Prolonged Inactivity: The Church may, after faithful efforts to make such action unnecessary, terminate the membership of persons whose names appear on the non-resident/inactive membership rolls for at least one year.  The Church shall keep a .. permanent list of the names of such persons.

 4.            An Offense to the Special Calling of the Church: Should a member become an offense to the church and its doctrine by reason of immoral or unchristian conduct, or by persistent breach of the duties and responsibilities of Church membership, the Church may terminate his/her membership, but only after faithful efforts have been made to bring such a member to repentance and amendment as counseled to do so in Matthew 18. Action regarding such termination of membership shall be first considered by the Deacons Ministry who shall make recommendation to the church body.

The Deacons Ministry shall be granted authority by the church to issue letters of dismissal and recommendation as provided in these Bylaws, and shall report to the church regarding these letters at each Quarterly Church Business Meeting.

Section 7.  Restoration.  Any person, whose membership has been terminated by an offense, may be restored to his membership by an affirmative consensus of the church upon evidence of his repentance and reformation as we are counseled to do so in Galatians 6.

Section 8.  Inactive Members.  The membership of an individual may be defined as "inactive" for any one of the following reasons:

1.        One year non-resident;

2.        One year not regularly worshipping with the church; and

3.        One year not contributing to the support of the church, except for illness,confinement, or other valid reasons defined by the Pastor and Deacons Ministry.


Section 1.  Support of the Church:  The Bible Plan for the support of this church is that which is set forth in the New Testament -- "Upon the first day of the week, let every one of you lay by him in store, as God hath prospered him..." (I Cor. 16:2). More specifically we are called to respond to the Lord’s grace in our lives by rendering unto the Lord His tithes and our offerings. (Malachi 3:7-12)

Section 2.  Church Officers.  The New Testament requires that the leadership of the Church shall be of "Honest report, full of the Holy Ghost and wisdom" (Acts 6:3); therefore, any person who is elected by the church to hold office:

1.        Shall be a member of this Church;

2.        Shall have a good report, both within and from without the Church;

3.        Shall attend regularly the worship services and Bible studies of the Church;

4.        Shall regularly and systematically support the financial programs of the Church;

5.        For the Office of Pastor and Deacon: only those who meet all the... Scriptural requirements in I Tim. 3:1-12 shall be eligible, and further;

6.        It shall be the policy of this church to ask for the resignation of any officer of the Church, or its committees, or ministries for any of the following reasons:

1.        For conduct unbecoming to a Christian;

2.        For none brotherly/sisterly or destructive criticism of fellow officers or other church members with the intent of doing them harm; 

3.        For unfaithfulness in the performance of his duties and responsibilities of 

4.        Failure to cooperate with the whole program of the church, but only after faithful efforts have been made to bring such officer (s) to repentance and amendment, as set forth in Matthew 18:15-17; Galatians 6:1 and I Timothy 5:19.



Section 1.  Qualifications.  In addition to the qualifications listed in Article II of these Bylaws, all candidates for the Pastorate of the Shiloh Baptist Church, shall be an active member, in good and regular standing with a Baptist Church, must be an ordained minister, and must give evidence of his call to the Gospel Ministry.  He must also have knowledge of the doctrines of the Baptist Church. He must also be so committed to his call that preparation for the fulfillment of his duties are acheived through education.

Section 2.  Method of Selecting.  A Pastor shall be chosen and called whenever a vacancy occurs. After an extensive search, the Pulpit Committee will submit it’s recommendation(s) to the Deacons Ministry. The Deacons Ministry will then present the recommendation(s) to the Church.     The Pastor’s selection shall take place at a meeting called for that purpose only, of which at least two-weeks public notice shall be given.  The recommendation (s) of suitable candidate (s) shall constitute recommendation(s) forwarded to the Church from the Deacon’s Ministry only, and an affirmative vote of 51% of the membership present and voting shall be necessary for a choice.  The candidate thus selected shall be notified by an official communiqué from the Church, and shall be given thirty (30) days to reply.  Upon acceptance of the call, the Pastor selected shall serve until the relationship is terminated, either by himself, or by the church being led by the Holy Spirit, either party giving the other a thirty (30) day notice.

Section 3.  General Duties.  The Pastor shall have control of the Pulpit.  He shall have charge of the general welfare and oversight of the Church.  He shall conduct the worship services, give leadership to the entire Church ministry, preside at all Church meetings, except as otherwise provided in these Bylaws, give attention to the spiritual growth and well-being of the membership through Christian education. He will also provide pastoral ministry to the sick and distressed and consult with those in need of such, and he shall work in cooperation with the Holy Spirit elected leadership of the church and its organizations.

Section 4.  Chief Leader.  As Chief Leader of the Church, the Pastor shall be ex-officio member of all leadership groups, ministries, and organizations of the Church, except the Nominating Committee, his counsel and leadership shall be recognized, respected in them all.  He shall make appointments to ministries whenever necessary. The Pastor may also recommend to the church body the hiring of support staff as he sees fit in order to address congregational needs.  All staff members and employees (paid or volunteer) shall be responsible to the Pastor.

Section 5.  Compensation.  The Pastor shall receive from the Church a competent salary and other compensations as needed.  These Pastor's salary compensations shall be adjusted periodically in order to maintain competency.

Section 6.  Other Benefits.  Benefits for the Office of the Pastor, shall be worked out between the Pastor and the Deacons Ministry, and ratified by the Church body.

Section 7.  Vacation.  The Pastor shall have five weeks each year as vacation with his regular salary.

Section 8.  Assistant to the Pastor.  The Pastor may choose an Assistant of his choice who shall be directly responsible to the Pastor in the performance of the duties assigned to him. This is not a position assigned by the body and only serves at the discretion of the Pastor. The Pastor makes the determination as to the length of service for this individual and who will serve.


Section 1.  Qualifications.  In addition to the qualifications listed in Article II of these Bylaws, a candidate for the office of Deacon, at the time of his nomination, must be a member of this church for not less than three (3) years unless past experience in that office is considered and affirmed by the Pastor.

Section 2.  Method of Selecting.  The Pastor and Deacons shall select such men who serve in this Office of Deacon, in accordance with Article II of these Bylaws. The name(s) of such candidates(s) shall be presented to the membership through the Deacons Ministry and a consensus of affirmation shall be necessary for a choice, electing such person (s) to began training for an undetermined time by the Pastor and Deacons ministry before ordination. Periodic assessments of performance will be performed by the Pastor and the Deacons Ministry chair. Recommendations to the church will be made based on these evaluations. The term of office for Deacon shall be for an indefinite period.

Should a member of the Deacons Ministry become an offense to the church and its doctrine by reason of immoral or unchristian conduct, or by persistent breach of the duties of a Deacon, the Pastor and Deacons Ministry will recommend to the church body that person be removed from said office. The Church may terminate his tenure by consensus but only after faithful efforts have been made to bring such a member to repentance and amendment as counseled to do so in Matthew 18. Action regarding such termination of membership shall be first considered by the Deacons Ministry who shall make recommendation to the church body.

Section 3.  General Duties.  It shall be the duty of the Deacons to perform various services at the direction of the Pastor, and shall serve as the Pastors liaisons to all ministries.  The Deacons shall be responsible for the administration of charitable goods, and shall provide aid and comfort to the sick and distressed members, making sure that the needs of the poor and infirmed are adequately met.  The Deacons shall serve the Holy Communion led by the Pastor or an assigned ordained minister.

Section 4.  Benevolence Fund.  Deacons will have the responsibility of distributing the benevolence fund. It shall be the responsibility of the Finance Committee to oversee the account of the Benevolence Treasure.  Records shall be kept by the Finance Committee on all collections and  by the Deacons outlining disbursements. A report shall be given at each Church Business Meeting.

Section 5.  Chairman of the Deacon’s Ministry.  The Chairman of the Deacons Ministry shall be elected by the Deacons. In the absence of a the Pastor, the Chairman and the Deacons Ministry shall assume the leadership of the church, and shall seek the assistance of an ordained minister and other Deacons as the need arises.

Section 6.  Ministers and Deacons Wives Council.

1.   Qualifications.  The Ministers and Deacons Wives Council shall be composed of only such women as lead a virtuous and holy life.  The member shall be the wife of one husband. These members "must be grave, not slanderers, sober, faithful in all things"  (II Tim. 3:11).

2.        Duties.  It shall be the duty of the Ministers and Deacons wives to assist the Deacons in Baptizing, and during the Observance of the Lord's Supper. Ministers and Deacons wives will be called upon to serve as Pastoral liaisons to ministries where it is more appropriate for women to be involved. The members shall assist the Deacons in ministering in homes, especially in situations where a woman's assistance is most suited.  The members shall represent the church when children are brought to the Lord for baptism.  The Deacons and Ministers Wives shall be available to assume other tasks, which may be given at the direction of the Pastor. 


Section 1.  General.  The Officers listed in this Article shall be elected bi annually, unless otherwise herein provided.  All offices to be filled shall be by nominations from the Nominating Committee to a (2) one-year term.

Section 2.  Moderator.  The Moderator shall be the Pastor.  In the absence of the Pastor, the Chairman of the Deacons shall preside.  In his absence, the Clerk shall call the meeting to order and a Moderator Pro-tempore shall be elected.  It shall be the duty of the Moderator to keep order; to state and explain motions; and by his vote to decide questions upon which there is a tie.

Section 3.  Trustees.  The Church shall have a Trustees Ministry, consisting of at least (9) nine persons.  It shall be the duty of the Trustees to hold in trust all properties of the church.  The Trustees shall have no power to buy, to sell, to mortgage, to lease, or to transfer any property of the Church without a specific vote of the Church authorizing such action.

Section 4. Church Clerk.  The Clerk of the Church shall keep in a suitable record book the minutes of all Executive Council Meetings, all Regular and Special Church Meetings, and shall preserve on file all communications and official reports on behalf of the Church.  The Clerk shall give legal notice of all meetings when such is necessary.  It shall be the duty of the Clerk to notify all officers, ministries, committees, and delegates of their election or appointment, and/or actions voted by the church. Whenever necessary, the Clerk shall provide clerical assistance to the Office of the Pastor, and to the Church.  The Clerk many enlist such persons as needed to help carryout the responsibility of the Office of Clerk.

Section 5.  Assistant Church Clerk.  The Assistant Clerk shall assist the Clerk in the performance of his/her duties, and shall assume the responsibility of the Office of Clerk in his/her absence.  The Assistant Clerk shall keep a register of the names of the members with dates of admission; dismiss ion, and/or death, together with a record of baptisms.  The Assistant Clerk shall issue letters of dismiss ion voted by the Church and signed by the Clerk.

Section 6.  Treasurer.  The Church Treasurer shall receive from the Finance Committee all regular and special offerings and shall deposit the same in the bank.  The Treasurer will make disbursements by checks drawn on the account (s) of the church, after receiving drafts from the Finance Committee, signed by the Chairman (s) of the Finance Committee.  The Treasurer shall submit a financial report quarterly reflecting the receipts and disbursements at Regular Church Business Meetings.

Within thirty (30) days after the end of each fiscal year, the Treasurer shall present to the Finance Committee an annual report showing the total amount of receipts, and an itemized statement showing all disbursements.  Prior to the presentation of this report to the Church, upon its completion by the Treasurer, the report shall be audited by the Finance Committee, or their duly authorized representative (s), and their signatures shall be affixed at the end of the report before it shall be accepted by the Church.  All books, records, and accounts kept by the Treasurer shall be considered the property of the Church, and shall therefore be open to inspection by the Finance Committee.  Should the Office of Treasurer become vacant by reason of removal, death, or resignation, the Finance Committee shall audit the records of the Treasurer.

Section 7.  Financial Secretary.  The Financial Secretary shall keep records of each individual member's financial contribution to the church, itemize all receipts and expenditures based on the current approved budget, fulfill all reporting requirements to the IRS and shall prepare quarterly reports for the Church body to be presented at the Church business meetings. The Financial Secretary shall also submit an annual report for submission to the Finance Committee who will then present this report to the Church body. The records of the Financial Secretary are considered confidential, and are therefore open to only the Pastor and the Deacons for inspection.  Should the Office of Financial Secretary become vacant by reason of removal, death, or resignation, the Finance Committee shall audit the records of the Financial Secretary.

Section 8.  Historian.  It shall be the duty of the Historian to prepare a narrated account of the Church's activities during his/her term of office, and when approved by the church, will become an official and permanent document of the History of the Church.


Section 1.  The Pastor shall select a Minister of Music, a Director of Christian Education, a Minister of Evangelism, and a Minister of Youth Activities, whenever a vacancy occurs.  These officers thus selected shall serve for a term of office at the discretion of the Pastor.

Section 2.  Minister of Music.  The Minister of Music shall have general supervision of the music for the Church.  All Church musicians and all singing aggregations shall be directly responsible to the Minister of Music.  The Minister of Music shall cooperate with the Pastor in all matters of church programming.  He/she shall advise and counsel with the Pastor for the music for all occasions.

Section 3.  Director of Christian Education.  The Director of Christian Education shall have general charge of the education and training programs of the Church.  He/She shall

Cooperate with the Pastor in all matters of programming, and shall advise and counsel with the Pastor in all matters of programming, and shall advise and counsel with the Pastor in planning all educational and training programs.

Section 4.  Sunday School Superintendent.  The Church shall have a Sunday Morning Bible Teaching Program to be under the supervision of the Superintendent.  The General Superintendent shall be responsible to the Director of Christian Education for the operation and administration of the Sunday Morning Church School.  The Superintendent shall be nominated by the Nominating Committee and elected by a majority vote to serve on a yearly basis.


Section 1.  General

1.        The Pastor/The Church may establish special committees as may be considered necessary to perform certain tasks which cannot be done as efficiently by the entire membership or by the Deacons as a whole.

2.        All committees of the church shall be responsible to the Pastor and or his liaison. They shall report to the to the former and the church body.  The only exceptions to this shall be the Nominating Committee and the Membership Committee, which shall report directly to the church.

3.        All committees referred to in this Article shall be Standing Committees, with  the exception of a Pulpit Committee which shall be a Special /Select Committee. Members of standing committees shall be appointed or elected for a term of one year, but may be requested to succeed themselves.  Committees shall be responsible for the expenditure of funds authorized in the annual budget for the work of the committee.

Section 2.  Pulpit Committee.  A Pulpit Committee shall be elected whenever a vacancy       occurs in the Office or Pastor.  It shall be the duty of the Pulpit Committee to seek out suitable candidates for Pastor, in accordance with Articles II and III of these Bylaws.  The Pulpit Committee should be composed of such persons as are well acquainted with the work and needs of the Church.  The church at the time of the election of the Committee may give additional instructions not contained in these Bylaws. 

Section 3.  Nominating Committee.  The Nominating Committee shall be responsible for discovering, interviewing, enlisting, and proposing to the Church for election, such persons who are suitable to fill all elected positions within the Church, except as provided elsewhere in these Bylaws.  The Chairman of the Deacons Ministry, the President of the Deacons and Ministers Wives, the Minister of Music, and Director of Christian Education shall be ex-officio members, after their election or appointment.  The Church shall elect seven (7) members to the Nominating Committee.

Section 4.  Finance Committee.

1.        The Finance Committee shall be composed of at least five (5) members. The Finance Committee shall be responsible for the proper handling of the Church funds according to the authorized budget, and shall supervise all of the financial affairs of the church.

2..       The Finance Committee shall maintain close supervision over expenditures to see to it that the budget is followed; shall make recommendations for additional appropriations if and when necessary; and shall advise the Pastor and Deacons concerning expenditures not specifically under the jurisdiction of other committees or organizations of the church.     

Section 5.  Membership Committee

1.        The Membership Committee shall report quarterly to the church regarding those who have presented themselves for membership in the church, according to the procedure set forth in Article I of these Bylaws.  Letters of dismiss ion and recommendation shall be prepared in accordance with Article I.  Accurate, and up-to-date records shall be maintained by the Membership Committee on the Active, Inactive, and the Non-resident membership rolls of the church, and any other records, which affects the membership status of the church.

2.        The Membership Committee shall assist the Pastor in interviewing new members and making them feel welcome to the life and program of the church.  The Committee shall also work with the Pastor and the Director of Christian Education in providing members with information about the doctrine and practices of the church.


Section 1.  Meetings for Worship


1.        Regular Services for worship shall be open to the public and shall be held each Sunday at suitable hours.

2.        Baptismal Services shall be held at the discretion of the Pastor.

3.        The Observance of the Lord's Supper shall be the 1st. Sunday of each month, and on other special occasions at the discretion of the Pastor. These observances shall be open to all Believers in the Lord Jesus Christ.

4.        Prayer Services and Bible studies shall be held consistently at the discretion of the Pastor.

5.        Revival Services shall be held at the discretion of the Pastor, and any other services for worship he may choose to institute.

6.        Annual Days.  The Church shall celebrate two annual days each year; Church Anniversary, and Pastor's Anniversary.

7. Other Church Ministries shall be responsible for the planning and implementation of their annual day worship celebrations coordinating these worship events through the Pastor.

Section 2.  Meetings for Business

1.        Deacons Ministry.  The Deacons shall meet monthly, each Friday prior to the first Sunday, or at a time they shall decide, and shall conduct such business as pertains to the spiritual welfare of the church. 

2.        Trustee Ministry.  The Trustees shall meet regularly, each second Saturday of the month or at a time they shall decide, with the Pastor, and shall conduct such business as pertains to the temporal affairs of the church.

        3.        Joint Leadership Ministry.  The Deacons and Trustees shall meet with the Pastor, whenever         necessary, and transact such business as pertains to the total interest of the church.

4.        Ministry Council.  The collective leadership of the church shall meet with the Pastor and Deacons at the discretion of the Pastor, and shall make reports and recommendations as pertaining to the respective ministries of the church.

5.        Quarterly Church Business Meeting.  The Church Business Meeting.  The Church Business Meeting shall be held the 2nd Monday of each quarter.  Exceptions may be made when there is a conflict with other scheduled activities.

Section 3.  Procedure for Church Business Meetings.  The business meetings of the church shall be open to only members of this church.  All business meetings shall be opened with devotional and prayer.  The business procedure shall be conducted according to Roberts Rules of Order, Newly Revised Parliamentary Procedure, and shall generally follow this order, unless the church adopts an agenda:

  1. Devotions by Deacons
  1. Song  B. Scripture  C. Prayer  D. Recitation of Church Covenant
  1. Call to Order / Review and Adoption of Agenda : Moderator
  2. Reading and Adoption of Previous Meeting’s Minuets.
  3. Reports and Recommendations from the Deacon’s Ministry
  4. Reports and Recommendations from the Trustee Ministry.
  5. Old Business

  7. Financial Reports : Treasurer / Financial Secretary
  8. Vision Statements from the Pastor
  9. Prayer and Adjournment


Section 1.        Church Ministries

1.      All ministries shall be under the auspices of the church. Ministries may elect their officers, and conduct their affairs in accordance with these Bylaws.  All officers of ministries shall be elected biannually not later than the 2nd Sunday in November, and shall be installed officially the 1st. Sunday in January of each year.

2.      All money, raised in the name of the Church, shall be turned over to the Finance Committee A.S.A.P to be held in escrow for not more than 12 months.

3.   The Sanctuary Choir, a part of the church structure, and also the Number One Choir of the church, shall be responsible to serve whenever the church receives invitations to fellowship with other churches and the Pastor is preaching, unless the Pastor, or the Organist/Choirmaster appoints another singing group (s) to serve on such occasions.  The Sanctuary Choir shall be supported in this responsibility by having its robes supplied by the church.      

Section 2.  New Ministries

The Pastor/The Church may, as need arises, establish other groups, organizations, or departments of work, specifying the purposed of the organization, and setting forth the duties of its officers.

Section 3.  Licensing and Ordination.

1.      The church may, upon recommendation of the Pastor, grant a license to preach to any man or women of the fellowship who gives evidence that he/she is called of God to preach the Gospel and have submitted himself to the authority of the Church and Pastor.

2.      The church may, upon recommendation of the Pastor, ordain a man/woman as a minister of the Gospel, (Pastors, Assistants to the Pastor, or Evangelists) who give satisfactory evidence of his/her call to preach and the scriptural qualifications for ordination.  The Pastor shall, for this purpose, call Coordinating Council, who shall examine the qualifications of the candidate and bring recommendation to the Church regarding the ordination.

Section 4.  Financial Policy.

1.      All monies received by the Church shall be deposited in a bank approved by the Finance Committee. 

2.      Deposits shall be made in the name of the SHILOH BAPTIST CHURCH, 3201 Frutas Avenue, El Paso, TX  79905, and shall be disbursed according to the annual budget adopted by the church.

3.      As need may arise; the church may establish a Building Fund Account, or other such accounts.  Records of such funds shall be kept separately, and no checks may be issued from the accounts except with the approval of the church, and/or for the purpose for which the fund was established.

Section 5.  Conventions/Foreign Mission Boards.

The Pastor, along with any other delegates the Church may choose, shall represent the church in the convention or associations of which the Church is affiliated.

Section 6.  Use of the Church Building and Equipment/Grounds

1.      Members may use the facilities of the church for Weddings and Funerals, and for other similar occasions.  Such use however, shall be subject to the policies and procedures adopted by the church.  All scheduling shall be through the church office.

2.      Church building and facilities may be used for meetings sponsored by the church's organizations, and religious organizations with which this church is related.

3.      None of the building, grounds, or equipment of this church shall be used for commercial purposes, nor shall they be used by any organization (s) functioning for monetary profit.


Section 1.  Procedure for Amendment.  This Constitution and Bylaws, or any part thereof, may be amended or supplemented at any regular or special business meeting of the church, by a two-thirds majority of the members present and voting, provided due notice of proposed meeting for consideration of amendments, additions, or changes in this Constitution and Bylaws, shall be given by publishing a notice in the Church Bulletin, making public announcement at the two (2) regular Sunday Services preceding such a meeting.
